A book in which the records of the corporation are kept. Corporate law requires that certain records be kept by a corporation, including the articles and by-laws (including any amendments), any unanimous shareholders’ agreement, minutes of meetings and resolutions of shareholders, minutes of meetings and resolutions of directors, and a securities register (CBCA, ss. 20(1) and (2)). While use of a physical minute book remains common, the CBCA permits records to be kept in “any system of mechanical or electronic data processing or any other information storage device that is capable of reproducing any required information in intelligible form within a reasonable time” (s. 22).
