The date for determining who the shareholders are for the purposes of giving notice of a shareholder meeting, paying dividends, or for any other purpose. The directors may set the date. In relation to notice of meetings and voting rights, if the directors do not set a date, the record date is deemed to be the close of business on the day before the day the notice is sent. In all other cases, if the directors do not set a date, the record date is the day the directors pass the resolution in relation to which it is necessary to determine who the shareholders are.
